Terms & Conditions
Full terms and conditions are provided to the Client at the time a contract is signed. The published terms are subject to change. Please consult your KWM representative or your contract for the most up to date terms.
Audio/Video Installation & Production Services
Audio/Video Installation Services (if applicable)
The installation services in this Agreement are labor services which are limited to: (a) the initial, first-time installation and setup of audio/visual equipment; (b) connection and configuration of certain new or existing audio/visual components as needed and provided by you for connection in the same location; and (c) a basic training and orientation session for newly installed equipment, if needed.
The Service includes on-site visits to your location for the purpose of installation, setup, and training. The time period for the Service will be determined and disclosed at the time the agreement is signed and outlined in the Service Details below. The Service will be limited to the agreed upon number of on-site visits unless additional visits and services are purchased by the Client for an additional cost. This Agreement assumes proper operation of all preexisting equipment and newly purchased equipment at the time the technician arrives at your location and does not include any repair or equipment replacement services. If at any time during the installation you have questions or concerns, please contact a Kingdom Way Media representative.
All equipment to be purchased and/or installed will be outlined in the Project Proposal. A signed Project Proposal must be obtained by the Client or Client’s Representative along with any required deposits prior to installation services being rendered.
Audio/Video Production Services (if applicable)
Audio and video footage will be captured up to the maximum number of hours and recorded media produced from footage captured on the date(s) and at the location(s) as defined in the Service Details. Participants involved in the production agree to be on time and agree to the time limit stipulations as outlined in the Project Proposal and Service Details. Kingdom Way Media will make every effort to ensure a smooth and timely recording event.
After footage has been captured as agreed, editing services (if purchased by the Client) will commence. The editing timeline for the final product will be agreed upon between Kingdom Way Media and the Client and outlined in the Project Proposal and Service Details. Creative aspects such as shooting and editing style are at the discretion of Kingdom Way Media Solutions with input from the Client. Kingdom Way Media is not responsible for the quality of any pre-recorded or pre-produced material provided by the Client to be incorporated into the finished product produced by Kingdom Way Media.
Client Responsibilities
Prior to and during the Service with Kingdom Way Media, the following are the responsibility of the Client and the Services provided may be conditional upon their completion:
IMPORTANT NOTICE: If any of the items that are the Client’s responsibility to provide are lacking, incomplete, and/or unavailable to the technician, Kingdom Way Media is not obligated to provide services. The Client understands that services may not be rendered until the applicable components and/or equipment is available, fully installed and tested, unless otherwise directed by the Client. The Client may choose to use preexisting audio/visual equipment and/or components; however, Kingdom Way Media is not responsible for the impact on the quality of service due to functional limitations of preexisting audio/visual components and/or equipment provided by the Client. The Client understands that without necessary audio/visual components and/or equipment and adequate power supply, services may be limited for safety and regulatory purposes.
Force Majeure
Kingdom Way Media is not liable for any failure or delay in performance due to any cause beyond its reasonable control, e.g. bad weather, poor acoustics/lighting in the venue, interference from guests/participants, coverage lost due to access restrictions, etc. In any event, if Kingdom Way Media’s ability to render the Service is impaired or delayed by the Client or by circumstances beyond Kingdom Way Media’s control, Kingdom Way Media may terminate this Agreement.
Kingdom Way Media reserves the right to terminate this Agreement at any time for any reasonable unforeseen cause, e.g. accident, injury, illness, or death. In this event all monies paid will be refunded in full. Any liability on the part of Kingdom Way Media will be limited to the amount of monies paid.
Service Hours
Service hours may vary according to the project and will be determined and agreed upon with the Client and outlined in the Service Details. This may exclude regularly observed holidays, unless otherwise agreed upon by the Client and Kingdom Way Media.
Limitations to Installation Service
This Agreement does not cover any repairs/replacement or re-installation as a result of:
Limited Warranty
Kingdom Way Media warrants to the Client that the installation will be performed in a good and workmanlike manner in accordance with any installation requirements of the manufacturer of audio/visual equipment and components. Kingdom Way Media will correct any installation and wiring defects at no cost to the Client if Kingdom Way Media is notified of the defect within the warranty period established and agreed upon with the Client.
Kingdom Way Media is not responsible or liable in any way for defects in the audio/visual equipment or components and parts or materials used in connection with the Services. Audio/Visual equipment or components and parts or materials shall only be warranted by the manufacturer of the products and any claim arising from such defects shall be made solely against the manufacturer.
Required Services Outside of the Agreement
With regard to any services that are not within the coverage of this Agreement, it will be within Kingdom Way Media’s discretion whether to perform the services if needed to ensure proper execution of the Services included in this agreement. If Kingdom Way Media elects to perform these additional services, the Client will be notified prior to commencement of the services and the Client may be subject to an additional charge to be paid before the additional services can be rendered.
Limitation of Remedy
Kingdom Way Media will take utmost care to provide the Service outlined within and produce a quality product. However, Kingdom Way Media is not responsible for circumstances beyond our control, including but not limited to, equipment malfunction and/or defective media. If Kingdom Way Media is prevented from performing the Service due to any such occurrences, every effort will be made to find an alternate solution. If an alternate solution cannot be reached with the Client, full payments will be refunded less applicable shipping fees to return defective equipment.
Indemnification
You, the Client, agree to defend, indemnify and hold harmless Kingdom Way Media and any third party acting on behalf of Kingdom Way Media for any claims (including, but not limited to, any claims for negligence, gross negligence, or willful misconduct) and for any losses, damages, liabilities or costs incurred (including, without limitation, attorney’s fees, defense costs and equitable relief) arising out of or in any manner related to this Agreement or the services provided by Kingdom Way Media or any third party acting on behalf of Kingdom Way Media.
Release & Waiver
The Client grants Kingdom Way Media permission to edit, exhibit, or publish photographic, audio, or video recordings captured as part of this Agreement and waives any right to compensation or any other consideration related to its use in educational or promotional settings. There is no time limit on the validity of this release nor is there any geographic limitation on where these materials may be distributed.
Payment & Terms
Deposits may be required for Services provided by Kingdom Way Media and will be noted in the Project Proposal and Service Details. If required, Services may not be scheduled until payment has been made as agreed in the above terms. The service schedules established with the Client are designated solely for the Client in order to ensure Services are rendered most efficiently. For this reason, the Client shall pay a nonrefundable deposit due upon signing this Agreement in accordance with the Service Details noted above. Other payment arrangements may be agreed upon between Kingdom Way Media and the Client as deemed necessary and at the discretion of Kingdom Way Media. All payment arrangements and schedules made between Kingdom Media and the Client must be documented in an instrument in writing signed by both parties to constitute an agreement.

Client Responsibilities
Prior to and during the Service with Kingdom Way Media, the following are the responsibility of the Client and the Services provided may be conditional upon their completion:
- To read this Agreement carefully and in its entirety.
- To ensure all items necessary for proper installation (if applicable) and quality production (if applicable), including audio and/or video components and cables as outlined in the signed proposals are available to the technician and production team.
- To ensure full access to the site for the duration of the installation or recording period.
- To ensure that the site is adequate to properly house audio and/or video components and equipment.
- To ensure the availability of an adequate power supply and conduit systems to properly power audio and/or video components.
- To obtain all necessary permits or permissions for audio/video services provided by Kingdom Way Media at the Client’s site.
- To review the details of the Project Proposal and sign the Service Agreement provided by Kingdom Way Media.
IMPORTANT NOTICE: If any of the items that are the Client’s responsibility to provide are lacking, incomplete, and/or unavailable to the technician, Kingdom Way Media is not obligated to provide services. The Client understands that services may not be rendered until the applicable components and/or equipment is available, fully installed and tested, unless otherwise directed by the Client. - Accident, misuse, neglect, failure to follow instructions for proper use, care or cleaning of the audio/visual components or equipment provided by Kingdom Way Media;
- An act of God such as, but not limited to, lightning, flooding, tornado, earthquakes, and hurricanes;
- An external factor (fire, flood, failures or fluctuations of electrical power or air conditioning);
- The moving or transportation by the Client of the audio/visual components or equipment provided or installed by Kingdom Way Media.
